1. Acceptance of These Terms
These Terms of Service (“Terms”) are a binding agreement between you and VUC HealthCare Inc. (“VUC Healthcare,” “we,” “us,” or “our”), governing your access to and use of our websites, patient portals, AI-powered assessment and treatment platform, medical devices, telehealth services, mobile health units, and related services (collectively, the “Services”). By accessing or using the Services, you accept these Terms. If you do not agree, do not use the Services. Additional consents — such as telehealth consent, genomic testing consent, or event registration terms — may apply to specific Services and are incorporated into these Terms.
2. Our Services
VUC Healthcare provides personalized, preventive healthcare that blends traditional medicine with AI-powered technology, including virtual health assessments, AI-supported treatment planning, genomic and ancestral health insights, mental wellness and cognitive assessment services, AI-driven medical devices, a clinical assessment library for authorized users, and mobile health units serving athletic programs, special events, and communities. The availability and scope of specific Services may vary by location and over time.
3. Not Medical Advice; Emergencies
- Content on our website — including pages, articles, and descriptions of services — is provided for general information and does not constitute medical advice, diagnosis, or treatment.
- Use of the website alone does not create a physician–patient or provider–patient relationship. Such a relationship is established only through a clinical encounter with one of our licensed professionals.
- Never disregard or delay seeking professional medical advice because of something you read or received through the Services.
- The Services are not designed for emergencies or crisis situations. If you may be in crisis or a danger to yourself or others, call 911 or the 988 Suicide & Crisis Lifeline.
4. Eligibility & Accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the online Services on your own behalf. A parent or legal guardian may use the Services on behalf of a minor and must provide required consents. You agree to provide accurate, current, and complete information, to keep your account credentials confidential, and to notify us promptly of any unauthorized use of your account. You are responsible for activity under your account.
5. Telehealth Services
Telehealth involves the delivery of healthcare using electronic communications. By using our telehealth Services you acknowledge and agree that:
- Telehealth has limitations compared with in-person care; a physical examination is not possible, and your provider may determine that telehealth is not appropriate for your needs and direct you to in-person care.
- Technical failures may interrupt or delay services; backup contact procedures will be provided where applicable.
- Services are provided by clinicians licensed in the jurisdictions where they practice, and availability may depend on your location.
- You are responsible for providing accurate health information during virtual encounters.
6. AI-Powered Services
Our Services use artificial intelligence to analyze health, lifestyle, genomic, and device data and to generate assessments, insights, and recommendations. You acknowledge and agree that:
- AI outputs are probabilistic and assistive in nature. They are decision-support tools intended to inform care, not to replace the independent judgment of licensed healthcare professionals.
- AI-generated results may be incomplete or inaccurate in individual cases, and clinically significant outputs are subject to clinician review.
- The quality of AI insights depends on the accuracy and completeness of the information you provide.
- AI features do not monitor you continuously or in real time unless expressly stated for a specific device or program.
7. Mobile Health Unit Services
The following additional terms apply to services delivered through our mobile health units:
- Scheduling & site requirements. Deployments are subject to scheduling availability, suitable site access, parking, and power/connectivity conditions agreed with the host organization.
- Safety & weather. We may delay, relocate, or cancel a deployment when conditions (including weather, site safety, or public health circumstances) make service delivery unsafe or impracticable.
- Capacity. On-site services may be limited by unit configuration, staffing, and time; we do not guarantee that every requested service can be provided at a given event.
- Host organizations. Organizations engaging our units for events agree to any separate services agreement provided to them, which controls over these Terms in the event of a conflict.
- Sports testing. Athletic assessments (including stress testing and concussion baselines) involve inherent physical exertion; participants must disclose relevant health conditions and follow staff instructions at all times.
8. Assessments, Results & Follow-Up
You are responsible for reviewing results made available to you, completing recommended follow-up, and informing your other healthcare providers of relevant findings. Screening and assessment services can produce false positives and false negatives; results should always be interpreted with a qualified clinician. Genomic and ancestry insights describe statistical associations and do not guarantee that a condition will or will not develop.
9. Fees, Payment & Insurance
Fees for Services will be disclosed to you before you incur them. You agree to pay all applicable fees and authorize us (and our payment processors) to charge your selected payment method. Where insurance applies, you remain responsible for copayments, deductibles, and amounts not covered by your plan. Missed-appointment and late-cancellation policies, where applicable, will be communicated at booking. We may correct billing errors and will notify you of adjustments.
10. Acceptable Use
You agree not to:
- Use the Services unlawfully, fraudulently, or on behalf of another person without authority;
- Provide false or misleading health or identity information;
- Interfere with or disrupt the Services, probe or test vulnerabilities, or attempt to access accounts, systems, or data without authorization;
- Scrape, harvest, or copy content or data from the Services, or use the Services to develop competing products;
- Upload malicious code or content that is unlawful, infringing, or harmful;
- Use the clinical assessment library except as an authorized patient or credentialed professional under its access terms;
- Misuse, damage, or remove equipment from our mobile health units or medical devices.
11. Intellectual Property
The Services — including our website, software, AI models, assessment content, text, graphics, logos, and the VUC Healthcare name and marks — are owned by VUC Healthcare or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal, non-commercial healthcare purposes. No other rights are granted. You may not use our name, logo, or marks without our prior written consent.
12. Feedback & Submissions
If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation. This section does not apply to your personal health information, which is governed by our Privacy Policy and applicable law.
13. Privacy
Our collection and use of personal information is described in our Privacy Policy. Protected health information is also governed by our Notice of Privacy Practices and applicable law, including HIPAA.
14. Third-Party Services
The Services may link to or interoperate with third-party websites, applications, or devices. We are not responsible for third-party services, and your use of them is governed by their own terms and policies.
15. Disclaimers of Warranties
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR COMPLETE IN EVERY CASE. NOTHING IN THIS SECTION LIMITS THE PROFESSIONAL OBLIGATIONS OF OUR LICENSED CLINICIANS IN THE DELIVERY OF CARE.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) VUC HEALTHCARE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES; AND (B) OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID US FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED U.S. DOLLARS (US $100).
SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. THESE LIMITATIONS DO NOT APPLY WHERE PROHIBITED BY LAW, INCLUDING TO LIABILITY THAT CANNOT BE LIMITED FOR PROFESSIONAL MEDICAL SERVICES UNDER APPLICABLE LAW.
17. Indemnification
You agree to indemnify and hold harmless VUC Healthcare and its officers, directors, employees, and agents from and against claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your violation of these Terms, your misuse of the Services, or your violation of any law or the rights of a third party, except to the extent caused by our own negligence or willful misconduct.
18. Dispute Resolution & Arbitration
Please read this section carefully — it affects your legal rights.
- Informal resolution first. Before filing a claim, you agree to contact us at the address in Section 23 and allow thirty (30) days to attempt to resolve the dispute informally.
- Binding arbitration. Except as provided below, any dispute arising out of or relating to these Terms or the Services will be resolved by final and binding arbitration administered by the American Arbitration Association under its applicable rules, held in Harris County, Texas (or conducted remotely by agreement). Judgment on the award may be entered in any court of competent jurisdiction.
- Class action waiver. Disputes will be resolved on an individual basis only. You and VUC Healthcare each waive the right to participate in a class, collective, or representative action, to the fullest extent permitted by law.
- Exceptions. Either party may bring an individual claim in small-claims court or seek injunctive relief in court for infringement or misuse of intellectual property or unauthorized access to systems. Claims that by law cannot be subject to pre-dispute arbitration agreements (including certain medical malpractice claims under applicable state law) are excluded from this arbitration provision.
- Opt-out. You may opt out of this arbitration provision by sending written notice to the address in Section 23 within thirty (30) days of first accepting these Terms.
19. Governing Law & Venue
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Subject to Section 18, the exclusive venue for any court proceeding will be the state and federal courts located in Harris County, Texas, and you consent to their jurisdiction.
20. Termination
You may stop using the Services at any time. We may suspend or terminate your access to the online Services if you violate these Terms, if required by law, or to protect the safety or security of patients, staff, or systems. Termination of online access does not by itself terminate an ongoing course of treatment; where a clinical relationship ends, we will follow applicable professional obligations regarding continuity of care and access to records. Sections that by their nature should survive termination (including Sections 11, 15–19, and 22) survive.
21. Changes to These Terms
We may modify these Terms from time to time. Material changes will be posted on this page with an updated effective date, and where required we will provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
22. General Provisions
- Entire agreement. These Terms, together with the Privacy Policy and any service-specific consents or agreements, are the entire agreement between you and us regarding the Services.
- Severability. If any provision is found unenforceable, the remaining provisions remain in full force, and the unenforceable provision will be modified to the minimum extent necessary.
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
